Terms and Conditions (T&C)

§1 Scope and Contracting Parties

(1) These Terms and Conditions (T&C) apply to all orders placed through our online shop, regardless of whether you are a consumer (§ 13 BGB / § 1 KSchG), a business customer (§ 14 BGB), or a merchant.
(2) The contracting party is F2 ECO Trading GmbH, based in Vienna, Austria. Storage and logistics are handled via a distribution warehouse in Germany. We deliver throughout Europe.
(3) The version of these T&C valid at the time the contract is concluded shall apply.
(4) We do not accept any terms and conditions that differ from or conflict with ours – even if we do not expressly object to them in individual cases.

§2 Conclusion of Contract

(1) The presentation of products in our online shop does not constitute a legally binding offer, but merely a non-binding invitation to place an order.
(2) By clicking the "Order with obligation to pay" button, you are submitting a binding order. You are bound to your order for two weeks. Your right of withdrawal in accordance with § 3 remains unaffected.
(3) The automatically generated order confirmation does not constitute acceptance of the contract. The contract is only concluded once we have expressly accepted your order or dispatched the goods.
(4) If delivery of the ordered goods is not possible (e.g. due to being out of stock), we will not accept the order. In this case, any payments made will be refunded immediately.

§3 Right of Withdrawal

(1) In accordance with § 312g (2) No. 2 BGB and § 18 (1) Z 4 FAGG, there is no statutory right of withdrawal for F2 eco, as it is a chemical specialty product whose effectiveness depends on strict adherence to specific storage conditions. Proper storage by the buyer can no longer be reliably verified after return.
(2) If the product shows transport damage or visible defects upon delivery, please contact us immediately at info@f2eco.eu. Also refer to § 8 para. 2.

§4 Delivery and Shipping

(1) We ship from our warehouse in Germany and deliver throughout Europe.
(2) We reserve the right to make partial deliveries, provided this is reasonable for you.
(3) For international orders or if there is a risk of payment default, we reserve the right to deliver only after receipt of payment. In this case, the delivery period begins after the payment has been received.
(4) In the event of delivery delays due to force majeure (e.g. strikes, raw material shortages, natural disasters, or transport restrictions), the delivery period will be extended accordingly.

§5 Prices and Shipping Costs

(1) All prices include statutory VAT (unless otherwise stated) and are subject to additional shipping charges.
(2) Shipping costs will be clearly displayed during the checkout process before the order is placed.
(3) In the case of partial deliveries, shipping costs will only be charged once – unless the partial delivery is made at your express request.

§6 Retention of Title

(1) Goods remain our property until full payment has been received.
(2) You are entitled to resell goods subject to retention of title in the ordinary course of business. In such a case, you hereby assign to us all receivables in the amount of the invoice value arising from such resale. We hereby accept this assignment.

§7 Product Information, Application and Protective Duration

(1) Before using F2, please carefully read the current technical data sheets, application instructions, and processing guidelines.
(2) The buyer is solely responsible for assessing the suitability of the product for the respective substrate and for proper storage, preparation, processing, and application.
(3) When stored, prepared, and applied correctly, F2 eco can provide antifouling protection for up to five years. This statement is based on internal testing and practical experience and does not constitute a guarantee or legally binding assurance. The actual effectiveness depends on various factors, such as location, water conditions, frequency of use, and quality of application.
(4) For reliable performance, it is essential to strictly follow all recommended processing steps (Primer – Adhesive Coat – Top Coat).
(5) F2 is manufactured by Ocean Coatings Limited, United Kingdom. We act solely as a distributor and not as the manufacturer. Technical product responsibility and manufacturing quality lie with the producer.
(6) In the event of verified material or manufacturing defects, we will assist our customers in clarifying the issue with the manufacturer and work toward a fair resolution.
(7) Our liability is excluded, except in cases of intent or gross negligence. Liability for indirect damage, consequential damage, or loss of profit is expressly excluded.

§8 Warranty (Liability for Defects)

(1) The statutory provisions on liability for material and legal defects apply.
(2) Obvious transport damage must be documented immediately upon delivery and reported to us without delay.
(3) Damages resulting from improper application, unsuitable storage, or natural wear and tear are excluded from warranty.
(4) In the case of justified defects, we will provide rectification or replacement at our discretion. Further claims – especially claims for damages – are excluded unless caused by intent or gross negligence.

§9 Dispute Resolution

The European Commission provides an online dispute resolution (ODR) platform at https://ec.europa.eu/consumers/odr.
We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.

§10 Copyright

All images, texts, videos, and other content on our website or in our sales materials are protected by copyright. Any unauthorized use – especially reproduction, distribution, or commercial exploitation – is prohibited and will be prosecuted.

§11 Written Form

All side agreements, amendments, or supplements to these T&C or to individual orders must be made in writing. This also applies to the waiver of this written form requirement.

§12 Applicable Law and Jurisdiction

For contracts with businesses or legal entities, Austrian law shall apply exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Jurisdiction is Vienna, unless mandatory consumer protection regulations specify otherwise.
